기업의 독자성과 기업양도의 법리

Abstract

우리나라의 기업법의 역사를 보건데 그다지 길지 않은 기간이지만 기업의 양도를 거래법적 시각에서 조직법적 시각으로 중점을 변화시켜 왔다는 것을 판례와 입법을 통해 알 수 있다. 전통적으로 기업법에서는 기업재편법으로서 M&A, 즉 기업인수 및 기업합병을 중심으로 진행되어 왔지만 기업양도나 기업분할도 기업재편의 방편으로서 실무에서 다양하게 이용되어 왔다. 회사법 개정을 통하여 기업분할에 대한 규정을 마련하고 최근에는 간편한 기업양도제도를 도입한 것이 기업재편을 위한 기업법의 진화방향이다. 따라서 우리는 현행법을 분석함에 있어서 기업양도에 대한 인식을 기업의 처분으로부터 기업의 재조직으로 전환하는 것이 필요하다고 본다. 이와 같은 시각에서 본다면 기업재편의 수단으로서 영업양도 내지 사업양도는 모든 기업유형에서 활용될 수 있도록 노력해야 할 것이다. 상법상 회사의 경우 물적 회사인 주식회사와 유한회사에 있어서는 다수결에 의한 주주승인 혹은 이사회 결의만으로 영업양도를 할 수 있는 길을 터놓고 있다. 그러나 동일한 상사단체인 인적 회사 즉 합명회사, 합자회사, 유한책임회사는 그 단체의 성질이 인적 결합체로서 조합에 가깝다는 이유 때문에 합수성 원칙에 따라서 사원 전원의 동의에 의해서만 영업양도를 할 수 있는 것으로 해석하고 있다. 사실은 이러한 인적 회사의 형태가 우리 경제상 훨씬 많은 부분을 차지하고 있고 그 소규모성 때문에 경제상황의 변화에 따른 부침이 많을 수밖에 없으므로 오히려 기업재조직을 통한 기업유지의 이념을 실현할 사회적 경제적 필요성이 더욱 간절하다고 할 수 있다. 따라서 기업양도에 관한 절차를 인적 회사나 더 나아가서 상사조합인 익명조합이나 합자조합까지 포함하여 간소한 방법에 의할 수 있도록 법제를 정비하고 그와 함께 이해관계인을 보호하는 규정을 마련하여 기업재편을 가능할 수 있도록 하여야 할 것이다.

Looking at the history of corporate law in Korea, it has not been a long period of time, but it can be seen through precedents and legislation that the focus has been changed from a transaction law perspective to an organizational law perspective. Traditionally, corporate law has focused on M&A, that is, mergers and acquisitions, but corporate transfer and corporate division have been used in practice as a means of corporate reorganization, and legislation has continued with changes in the perception of precedents. The direction of evolution of the corporate law for corporate reorganization is to prepare regulations on corporate division through the revision of the corporate law and recently introduce a simple corporate transfer system. Therefore, in analyzing the current law, it is necessary to shift the perception of corporate transfer from corporate disposal to corporate reorganization. From this point of view, efforts should be made to ensure that business transfer as a means of corporate reorganization can be used in all types of companies. In the case of companies under the Commercial Act, stock companies and limited companies, which are capital companies, open the way for business transfer only with majority vote of shareholder or resolution of the board of directors. However, the same trading group, such as a partnership company, a joint venture company, and a limited liability company, is interpreted as being able to transfer business only with the consent of all members according to the principle of property right of a partnership because the nature of the group is close to a partnership as a human-based Company. In fact, these human-based companies account for a much larger portion of our economy, and because of their small size, there is inevitably a lot of ups and downs due to changes in economic conditions, so it is more urgent to realize the ideology of company maintenance through company reorganization. Therefore, the legislation should be reorganized so that the procedures for company transfer can be simple, including human-based companies and even commercial associations, anonymous associations or joint ventures, and the protection of stakeholders should be separately regulated with the legislation on regulation of company reorganization.
