로보어드바이저(RA)의 적합성원칙과 설명의무 규제에 관한 법적 연구

Abstract

ICT 기술의 발달에 따라 핀테크 산업을 중심으로 스타트업 기술 생태계가 확산하며 대중의 자산관리를 위한 자동화된 투자수단이 주목받게 되었다. 로보어드바이저(RA)는 온라인상에서 투자자산을 자동으로 관리하는 금융서비스의 한 종류로서 투자자가 입력한 투자정보를 기반으로 컴퓨터의 자동화된 알고리즘을 활용하여 편리하고 신속하게 금융자산을 관리하는 새로운 시스템으로 등장하게 되었다. 로보어드바이저는 인간의 개입 없이 소프트웨어 전산시스템 프로그램만으로 투자자 프로파일링, 자산배분, 포트폴리오 선택, 매매체결, 리밸런싱에 이르기까지 전과정을 자동으로 실행하는 것을 말한다. 최근 로보어드바이저 포트폴리오 구성에 ETF를 주로 활용하고 있는데, 주가지수 추종으로 자산배분에 따른 투자전략 활용에 편리하다는 장점이 있지만 많은 투자위험에 노출된 만큼 금융소비자 보호를 위한 적합성원칙과 설명의무의 구체적인 절차와 요건을 강화할 필요가 있다. 투자 적합성 판단은 투자대상의 적합성 여부를 판단하기 위한 합리적인 근거를 확보하는 의무화 규정으로 부적합한 투자자에게는 계약체결을 권유할 수 없도록 규정하고 있다. 특히, 투자자 성향을 파악하기 위해서는 투자자의 객관적인 투자환경과 여건을 충실히 반영하여야 하며, 투자자의 이해를 돕기 위한 다양한 기법들을 활용하여야 한다. 설명의무는 투자대상인 금융상품의 위험과 구조를 투자자에게 정확하게 설명하고 합리적인 판단을 모색하는 방법을 제시하는 것으로 투자자의 경험과 능력 등을 종합적으로 고려하여 수행할 필요가 있다.

Recently, ETFs are mainly used to construct robo-advisor portfolios, which have the advantage of being convenient for using investment strategies according to asset allocation by tracking the stock index. However, as it is exposed to many investment risks, it is necessary to strengthen the suitability principle and detailed procedures and requirements for the duty of explanation for the protection of financial consumers. Investment adequacy judgment is a mandatory regulation that secures a reasonable basis for judging the suitability of an investment target. It is stipulated that unsuitable investors cannot be recommended to conclude contracts. In particular, in order to identify investor propensity, it is necessary to faithfully reflect the objective investment environment and conditions of the investor. In addition, various techniques should be used to help investors understand. The duty of explanation is to accurately explain to investors the risks and structures of financial instruments that are investment targets and to suggest methods for seeking reasonable judgment.
