연속매매에서의 위험이전과 준거법에 관한 연구

| dc.description.abstract | 상품거래는 제조품 거래와 1차산품 거래로 대별된다. 제조품과 관련한 위험이전이나 국제규칙에 대한 연구는 충분히 축적되어 있으나, 1차산품에 대한 연구는 미진한 편이다. 본 연구는 1차산품의 경우, 운송 중에 전매가 일어나는 연속매매(string sales)의 위험이전 관련규정에 대해 검토하였다. ICC는 Incoterms 2010 개정에서 연속매매라는 규정을 삽입함으로써 Incoterms가 1차산품 거래에서 공히 사용될 수 있음을 공포하였다. 본 연구는 Incoterms의 이러한 변화에 발맞춰 연속매매의 위험이전과 관련하여 적용 가능한 준거법에 대해서 고찰하였다. 무역거래의 관련 규정 및 법규는 임의규정으로서 당사자의 합의가 최우선한다. 그러므로 매매계약서 작성 시 준거법으로서 Incoterms와 함께 보충규칙으로서 CISG를 동시에 활용할 수 있을 것이다. 또한 SGA 제33조에 근거하여 당사자의 합의에 따라 소유권과 위험이전을 분리할 수 있기 때문에 매도인의 물품 인도 이후에 발생하는 손상에 대해서는 매수인이 위험을 부담해야 하므로 위험이전 규정을 가진 Incoterms와 SGA를 준거법으로 사용하는 것이 가능하다. 마지막으로 UCC는 당사자의 합의를 최우선으로 존중하고 있음을 명문화하고 있기 때문에, UCC는 Incoterms와 더불어 연속매매의 준거법으로 활용이 가능하다. | - |
